POEM (Place of Effective Management)

Place of Effective Management is a test that treats a foreign company as an Indian tax resident if its key management and commercial decisions are effectively made in India.

Earlier, a company was an Indian resident only if controlled wholly from India, which let firms incorporate abroad while running operations from India to escape full taxation. The POEM test closes this gap: a company is treated as resident if the place where its substantive management decisions are actually taken is in India.

POEM aligns India with international norms and works alongside DTAA tie-breaker rules and GAAR. Determining POEM is fact-intensive, focusing on where the board and senior management truly steer the business rather than where meetings are nominally held.
